Exercise of Share Options and Total Voting Rights
1 October 2026 - SDI Group plc, the buy and build group, focused on companies which design and manufacture specialist lab equipment, industrial & scientific sensors and industrial & scientific products, has issued and allotted a total of 502,981 new ordinary shares of 1 pence each in the capital of the Company ("Ordinary Shares") following an exercise of share options.
Deferred Bonus Awards, Exercise and Sale
Pursuant to the previous grant of 1 pence options as deferred bonus awards for FY25 under the Company's Long Term Incentive Plan 2025 ("LTIP"), the Participants named below have exercised such awards and sold the number of ordinary shares noted in the table below to cover the tax and national insurance ("NI") liability levied on the transaction, retaining the net number of shares as a result of the exercise of their respective awards.

Long Term Incentive Plan 2018, Exercise and Sale
The Company also announces that Ken Ford, Chairman, exercised nil-cost options over 135,455 Ordinary Shares of 1 pence each, granted on 19 March 2020 and which vested on 19 March 2023. Ken has sold 135,455 of those shares at 92.16 pence per share to facilitate family financial planning.
Following this transaction, Ken Ford remains a material shareholder and holds 970,000 Ordinary Shares in the Company, which represents approximately 0.92% of the Company's enlarged issued share capital.
A further 12,625 options of 1 pence each have been exercised by a senior member of the team.
Total Voting Rights
The New Ordinary Shares will rank pari passu with the existing Ordinary Shares and application has been made to the London Stock Exchange for 502,981 new Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective on or around 8:00 a.m. on 7 October 2026.
Following Admission, the total number of Ordinary Shares in issue will be 105,076,107 and the total number of voting rights will therefore be 105,076,107. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
