S & U PLC ("S&U" or "the Company")

Director/PDMR Shareholding and Notification of Major Interest in Shares

S&U were advised today that, following the grant of probate in respect of the estate of the late Mrs CMG Coombs, 75,601 Ordinary Shares of 12.5p each in the Company ("Ordinary Shares") held by her estate have been transferred for nil consideration to beneficiaries of the estate, both of whom are PDMRs of the Company. 37,800 shares have been transferred to Anthony Coombs, Chairman of S&U, and 37,801 shares have been transferred to Graham Coombs, Deputy Chairman of S&U.

Following these transfers, Anthony Coombs has a beneficial interest in 1,246,009 Ordinary Shares, representing approximately 10.3% of the total voting rights of the Company, and Graham Coombs has a beneficial interest in 1,688,620 Ordinary Shares, representing approximately 13.9% of the total voting rights of the Company. The estate of the late Mrs CMG Coombs no longer holds any Ordinary Shares in the Company.

In addition to the above holdings, Grevayne Properties Limited, a company beneficially controlled by Anthony Coombs and Graham Coombs, holds 379,123 Ordinary Shares, representing approximately 3.1% of the total voting rights of the Company.
