Board and Committee Changes

Robert Walters plc ("the Company") (LSE: RWA), the global talent solutions business, confirms that, further to its announcement on 18 December, Tanith Dodge, its Senior Independent Director, has retired from the Board at the Company's Annual General Meeting today.  The Board would like to express its appreciation for Tanith's service over her nine years as a Non-Executive Director.

As well as serving as the Company's Senior Independent Director, Tanith also served on each of the Board's standing Committees, as Chair of its Remuneration Committee and as Non-Executive Director with specific responsibility for workforce engagement. In addition, in 2022, Tanith served as Chair of the Company on an interim basis, leading the recruitment of the current Chair.

Following Tanith's retirement from the Board, continuing Non-Executive Directors have been appointed to her roles. Matt Ashley has been appointed as Senior Independent Director, Michaela Tod as Remuneration Committee Chair, and Jane Hesmondhalgh as Non-Executive Director with specific responsibility for workforce engagement. Each will continue to serve on the Audit & Risk, Nominations and Remuneration Committees to which Andrew Rashbass has now also been appointed as a member.

Leslie Van de Walle, Chair commented:

'Tanith's commitment, service and contributions to the Company over the past nine years have been invaluable. We have benefitted greatly from Tanith's input and counsel at Board, Committee and management levels. Her knowledge, expertise and experience of people-related matters in particular have been key as the Company has navigated challenges, driven business change and developed its long-term strategy to deliver accelerated, sustained, profitable growth. Tanith retires from the Board with our deep appreciation and best wishes for the future.

'I would also like to thank Matt Ashley, Michaela Tod, and Jane Hesmondhalgh respectively for stepping into the roles of Senior Independent Director, Remuneration Committee Chair, and Non-Executive Director with specific responsibility for workforce engagement, roles which I know they will ably fulfill.

Tanith Dodge, retiring Senior Independent Director, commented:

'I have thoroughly enjoyed my nine years at the Company helping it address the challenges and capitalise on the opportunities that have arisen over that period. It's a great company with the best people in the industry taking forward its strategy of disciplined entrepreneurialism to take advantage of the opportunities ahead. I wish Toby, the Board and all the management and employees at Robert Walters every success for the future.'
