Capital Reduction Effective

Further to the announcement of 7 August 2026, the Company is pleased to announce that the reduction of capital approved by Shareholders at the general meeting of the Company held on 25 June 2026 (the "Capital Reduction") as more particularly described in the circular to Shareholders published on 9 June 2026 (the "Circular") became effective on 5 August 2026 on the registration of the Court Order and accompanying statement of capital by the Registrar of Companies.

Following the Capital Reduction having become effective, CREST accounts will be credited, and share certificates despatched, in respect of the Initial Consideration Shares transferred to D Shareholders as at the Capital Reduction and Return of Capital Record Time pursuant to the Return of Capital on 26 August 2026, being  within fourteen days from the date on which the Certificate of Registration of the Court Order issued by the Registrar of Companies became available on the Company's filing history at Companies House.

The Company also informs D Shareholders that, following updated tax advice received by the Company after publication of the Circular and based on legislation and HMRC published practice as at the date of this announcement (both of which are subject to change, possibly with retrospective effect), stamp duty reserve tax is no longer anticipated to be payable on the transfer of the Initial Consideration Shares to D Shareholders pursuant to the Return of Capital. This revised position is not intended to be, and should not be construed as, legal or taxation advice to any particular shareholder. Any shareholder who has any doubt about his own taxation position, whether regarding CGT or otherwise, or who is subject to taxation in any jurisdiction other than the UK, should consult their professional taxation adviser immediately.

The number of shares admitted to trading is unchanged by the Capital Reduction.
