AGM Statement - appointment of director
The following is an extract from the statement of Lord Rothschild, Chairman of
RIT Capital Partners plc, at the Company's Annual General Meeting on 14 July
2005:
'We continue to review the composition of the Board and its committees,
particularly in view of the number of independent directors who are required to
comprise in number at least half of the directors, a position with which we
comply.
Taking a further step in this direction, I am now pleased to announce that the
Board has today appointed Chris Hohn as an additional independent non-executive
director with effect from 1 August 2005. Chris is Chief Investment officer at
T.C.I. Fund Management and will bring a wealth of investment expertise and
experience with him which will be of great help in the Board's strategic
deliberations.
In addition to this Board appointment, I am also pleased to announce that David
Haysey will be joining us as Chief Investment Officer in September. David has a
distinguished record in the asset management sector, built up during his years
at S G Warburg and latterly Deutsche Bank Asset Management. He will be a valued
and important member of our team.'

Mr Hohn, age 38 is the Portfolio Manager of The Children's Investment Fund
Management (UK) LLP, which he founded in 2003. He was formerly the Portfolio
manager leading the European event-driven investment strategy at Perry Capital,
which he joined in 1996.
Mr Hohn started his career with Coopers & Lybrand as a Manager in the Corporate
Finance Division in 1989, prior to obtaining an MBA at Harvard Business School
with High Distinction. He then worked with Apax Partners from 1994 to 1995 prior
to joining Perry Capital.
Mr Hohn is currently director of The Children's Investment Fund Foundation (UK)
and The Children's Investment Fund Management (UK) Limited.

Additional disclosures relating to Mr Christopher Hohn, as required under
Chapter 9 of the UKLA Listing Rules:
1. No other directorships in publicly quoted companies have been held by
Mr Hohn in the previous five years.
2. There are no other details requiring disclosure under paragraph 9.6.13R
of the UKLA Listing Rules.
3. There are no disclosable interests in the ordinary share capital of
RIT Capital Partners plc held by Mr Hohn.
