Board Changes

Restore plc (AIM: RST), the UK's leading provider of secure and sustainable business services for data, information and communications, announces the following Board changes with effect from 1 January 2027.

Having led Restore between 2009 and 2019 and returned to the Company as Chief Executive Officer (CEO) in 2023, Charles Skinner will move to the role of Non-Executive Chair.

Charles will be succeeded as CEO by Dan Baker, who has served as Chief Financial Officer (CFO) since 2023.

Dan's appointment as CEO follows a thorough search process led by the Nomination Committee, supported by an independent executive search firm, which included consideration of a range of internal and external candidates.

Jamie Hopkins, who has served as Non-Executive Chair since 2023, will become Senior Independent Director, succeeding Patrick Butcher. Patrick led the processes for Chair and CEO and will remain on the Board as Non-Executive Director and Audit Committee Chair.

The Board has commenced a process to identify a successor to Dan and will update the market on progress in due course.

Jamie Hopkins, Non-Executive Chair, commented:

"On behalf of the Board, I would like to thank Charles for his exceptional leadership of the Group over the last three years. Under his tenure as CEO, Restore has delivered on the ambitious financial targets we set in 2023 and continues to perform strongly. We are delighted that Charles will remain with the Group and lead the Board as Chair during the next stage of the Group's development. We are also delighted to appoint Dan as Charles's successor as CEO. Since joining the Group, Dan has demonstrated exceptional financial and operational leadership as CFO and is ideally positioned to continue to deliver on our strategy for growth."

Charles Skinner, CEO, commented:

"Having successfully refocused the Group and achieved our targets set in 2023, I believe now is the right time to transition to a new leadership structure. Dan has played an instrumental role in executing our strategy and strengthening our operational and financial performance and, as Chair, I look forward to continuing to work with him.

On behalf of the Board, I would like to thank Jamie for his stewardship as Chair over the past three years and look forward to his continued contribution to the Board."

Dan Baker, CFO, commented:

"I am delighted to have been appointed to lead Restore. We have achieved a lot, built a strong business and an excellent platform for creating shareholder value.  There is more to do and, together with Charles as counsel, I look forward to taking the Company forward to further success."
