Board Changes

Restore plc (AIM: RST), the UK's leading provider of secure and sustainable business services for data, information and communications, announces the following Board changes:

Chief Financial Officer

Ian Melling has been appointed as Chief Financial Officer (CFO) and Director of the Company with effect from 11 January 2027, succeeding Dan Baker, who, as previously announced, will become Chief Executive Officer (CEO) of Restore on 1 January 2027.

Ian joins from Victrex plc, where he served as CFO from 2022 to July 2026. Between 2006 and 2022 Ian held various commercial and group senior finance roles at Smith & Nephew plc, including interim CFO during 2020.

Ian started his career at Deloitte, where he qualified as a Chartered Accountant, and holds a first class master's degree in chemistry from Oxford University. He is a member of the UK Endorsement Board Preparer Advisory Group, which provides technical advice and practical perspectives on international financial reporting standards.

Non-Executive Directors

Nicola Keach has been appointed as Non-Executive Director with immediate effect. She has extensive experience across a range of sectors, having worked within a number of B2B service organisations of scale.

Nicola is the Senior Independent Director for Johnson Service Group plc.  Prior to that, Nicola was the CEO of Tivoli Group, one of the largest providers of Grounds Maintenance in the UK. Prior to joining Tivoli, Nicola spent a decade with ENGIE, the utilities business where she was latterly the CEO for the UK and Ireland business, and before that spent 16 years with Serco, the FTSE 250 provider of public services, including a significant period being responsible for their Facilities Management Healthcare contracts.

In addition, Richard Staveley has been appointed as Non-Executive Director with immediate effect. Richard is being appointed as a representative of Harwood Capital Management Limited ("Harwood"), the investment manager of North Atlantic Smaller Companies Investment Trust plc, Oryx International Growth Fund Limited, Rockwood Strategic plc and Harwood Capital LLP, which together hold 15.46% of the Company's issued ordinary share capital. His appointment is pursuant to a relationship agreement between the Company and Harwood, under which Harwood is entitled to appoint a representative to the Board provided that Harwood retains an aggregate interest of at least 12.5% of the Company's issued ordinary share capital.

Richard has over twenty-five years' experience of equity investing, fund management and working with both private and publicly quoted companies. Richard qualified as a Chartered Accountant at PwC and was a co-founder of River and Mercantile Asset Management and Head of UK small companies at both Societe Generale Asset Management and Majedie Asset Management. He was previously a Non-Executive Director of Chesterfield Special Cylinders Holdings plc, Bonhill plc and Centaur Media plc, and is the fund manager of Rockwood Strategic plc.

Charles Skinner, CEO, commented:

"We are delighted that Ian will be joining us as CFO in January. He is a highly experienced listed company CFO who brings considerable commercial and technical accounting knowledge as well as a strong understanding of growth business environments."

Jamie Hopkins, Chair, commented:

"I am pleased to announce the appointment of Nicola and Richard to Restore's Board. Nicola brings a wealth of experience of B2B services groups of scale which have grown both organically and through acquisition. Richard is a seasoned non-executive and experienced professional advisor, and adds further support to the execution of the strategy as the Company continues with its ambitious plans."
