Appointment of James Beams to the Board as Executive Director

Appointment of Brent Holme as Environment, Social & Sustainability Manager

Rainbow Rare Earths (LSE:RBW) is pleased to announce the appointment of Mr James Beams to the Board as Executive Director and of Mr Brent Holme to Senior Management as Environmental, Social and Sustainability Manager, with both roles effective immediately.

These appointments significantly strengthen the team, adding deep commercial, critical minerals and ESG expertise to the Company as it transitions from the feasibility study phases and project development towards execution and production.

James brings a unique combination of commercial understanding, project financing expertise, government and stakeholder engagement experience, and a proven track record of helping develop and fund critical minerals projects internationally, while Brent's extensive ESG and environmental leadership experience will also be invaluable, helping to  ensure that responsible environmental and social stewardship remains at the heart of our operations and growth strategy."

James Beams - Executive Director

As Executive Director, James will be responsible for supporting and integrating offtake negotiations and agreements, project finance and material contracts for Rainbow as it evolves into an operating business.

James is a British and South African citizen who brings more than 30 years' experience in the natural resources and financial sectors, spanning mine development, project financing, business development, government relations and corporate leadership across multiple commodities and jurisdictions. He has worked extensively throughout Africa, South America, Europe and China and has held a number of senior executive and non-executive positions in the mining sector.

Most notably, James spent 14 years with Anglo American plc, where he held several senior leadership positions, including Chief Financial Officer of the company's copper business in Chile and Head of Business Development for Base Metals. During this period, he was involved in the evaluation and development of major mining projects, capital allocation, business development opportunities and joint venture governance.

James has held executive and board positions with several mining companies focused on project development, financing and strategic growth. He currently serves as non-executive director of Trinity Metals Limited, a mining company focused on tin and tungsten that is one of the largest private sector employers in Rwanda.

The following information is disclosed in accordance with UKLR 6.4.8R:

·    James Edward Beams, aged 62, has not held any public company directorships within the last five years.

·    He currently holds 218,521 ordinary Rainbow shares, representing 0.03% of the Company's issued share capital.

·    He was formerly CEO of North River Resources, prior to becoming non-executive chairman. This company was put into administration in 2020 during the Covid pandemic and Mr Beams ceased being a director in June 2020.

Brent Holme - Environment, Social and Sustainability Manager

As Environmental, Social & Sustainability Manager, Brent will ensure environmental, social and sustainability considerations are integrated across the Company's operations. His role will be particularly important in the context of the development of Phalaborwa as a brownfield site.

Brent is a South African citizen who brings nearly two decades of experience in environmental, social and sustainability management, with a strong track record advising mining, industrial and renewable energy companies across Africa and internationally. He joins Rainbow from Hatch, where he served as Environment and Sustainability Lead for Africa, leading a multidisciplinary team and supporting major mining and infrastructure projects. Prior to this, Brent held senior environmental leadership roles at Marsh Advisory and founded his own environmental consultancy.

Brent holds a BSc (Hons) in Environmental Sciences from the University of Johannesburg and has extensive expertise in environmental and social impact assessments, environmental and social due diligence, environmental risk management, sustainability reporting and regulatory compliance. His experience includes supporting mining and infrastructure projects throughout Africa and developing ESG and environmental risk frameworks aligned with international best practice.

The Company has a genuinely compelling story to tell; recovering critical rare earths from an existing waste stream  speaks directly to the global energy transition and the circular economy, and it is rare to find a project that ticks both boxes so clearly. In the near term, my focus will be on finalising Phalaborwa's Environmental and Social Impact Assessment to local and international standards, ensuring compliance with lender requirements, and steering the project through permitting as we advance towards production. Looking further ahead, I am also looking forward to working with our partners, The Mosaic Company, on the Uberaba project in Brazil."
