Business of the Meeting

The AGM will, inter alia, seek shareholder approval for the following matters:

·      The re-election of Graham Duncan as a Director of the Company.

·      Approval for the issue of ordinary shares to Carl Dumbrell, Nigel Harvey, Tina Loh, Howard McLaughlin, Andrew Scott and Graham Duncan, each with an aggregate market value of A$50,000, as part of their remuneration arrangements. The number of shares to be issued will be determined by reference to the 5-day volume weighted average price (VWAP) immediately preceding the AGM. The proposed shares will be subject to a 12-month escrow period.

·      An advisory vote on the Directors' Remuneration Report for the financial year ended 30 June 2026, in accordance with the QCA Corporate Governance Code.

The AGM will also provide shareholders with the opportunity to consider the Company's Annual Report for the financial year ended 30 June 2026.

The circular contains further details of the proposed resolutions, including the remuneration arrangements of Directors and senior management.

Carl Dumbrell, Executive Chairman of Quantum Helium, commented: "The past 12 months has been a period of significant technical and operational progress for Quantum Helium, during which we have transformed the scale and maturity of our Colorado portfolio.

We have independently established 1.104 Bcf of gross 2U helium resources across Sagebrush and Coyote Wash, completed a major 3D seismic programme, secured important regulatory approvals and successfully confirmed helium-bearing gas and a new oil discovery in the Leadville Formation at Sagebrush-1.

Importantly, our seismic interpretation has also identified a growing pipeline of additional oil and helium drilling opportunities, while we progress plans for a larger-volume stimulation programme at Sagebrush aimed at achieving stronger, more sustainable flow rates.

The proposed share awards further align our Board and senior management with shareholders as we advance these opportunities. We look forward to the next phase of development and thank shareholders for their continued support."
