Appointment of New Auditor

London, UK - Quantum Data Energy PLC (LSE: QDE) is pleased to announce, further to its RNS announcement dated 29 April 2026 (RNS Number: 2880C), that the Board has made swift and excellent progress with filling the auditor casual vacancy under section 489(3) of the Companies Act 2006.

The Company is in advanced discussions with a number of audit firms in connection with the appointment, and in certain cases has been approached by those firms directly. Several of those firms have confirmed that they are ready and willing to engage actively with the Company on the steps required to take on the appointment, subject in each case to the satisfaction of their internal acceptance and regulatory procedures. More than one firm have already obtained internal clearance following review and consideration of all the relevant information. Following review and consideration of the various proposals received from the audit firms, the Board has selected a firm to proceed with. That firm has significantly advanced the process to seek the regulatory approval from the Financial Reporting Council ("FRC") required to act as auditor of the Company as a Public Interest Entity, and has already engaged with the former auditor in respect of the professional clearance under paragraph 320 of the ICAEW Code of Ethics.

The Board expects to be in a position to announce the appointment of the new auditor shortly.

As soon as the new auditor's appointment has been finalised, the Board and management will work expeditiously with the new auditor to complete the audit of the Company and to publish its annual report and accounts for the financial year ended 31 December 2025 as soon as possible, in order to withdraw the temporary suspension of its shares. The Board will provide a further update on the revised reporting timetable in due course.
