Vesting of RSUs and TVR

 

Public Policy Holding Company, Inc., a leading global provider of strategic communications services, announces that it has issued 181,822 new Common Shares of $0.001 each (the "Common Shares").  These new Common Shares have been issued in connection with the vesting of restricted stock units ("RSUs") previously granted to a subset of employees, as announced on 27 June 2024, including certain directors and senior employees of the Company who are persons discharging managerial responsibilities ("PDMRs"). The RSUs have vested in accordance with their terms, with one-third vesting annually. Individual PDMR shareholdings and RSU awards reflect the Company's October 2025 Reverse Share Split and ordinary course adjustments to RSU awards.

Application has been made for the new Common shares, which will rank pari passu with the existing Common Shares in issue, to be admitted to trading on AIM. Dealings are expected to commence on or around 26 August 2026.

Following this issue of shares, the Company's total issued and voting share capital upon admission will consist of 30,398,355 Common Shares. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, securities of the Company.
