The Company's capital at 31 December 2011 consisted of:
34,479,341 Ordinary Shares of 1.6187 pence each and
8,236,814 'D' Shares of 1 pence each. 

The Company does not hold any shares in treasury. 

Therefore, the total number of voting rights in ProVen Growth & Income VCT plc is 42,716,155.


The above takes account of any shares that have been recently bought back for cancellation, even if such transactions have not yet settled.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, ProVen Growth & Income VCT plc under the FSA's Disclosure and Transparency Rules.
