The Company announces the following changes to its Board of Directors.

Appointment of Independent Non-Executive Director

The Company confirms the appointment of Robert Ohrenstein as an independent Non-Executive Director, effective from 29 January, 2026. Upon joining the Board, Mr Ohrenstein will also become a member of the Audit and Risk Committees.

Retirement of Senior Independent Director and Audit Committee Chair

As previously disclosed, Jim Coyle, Senior Independent Director and Chair of the Audit Committee, will retire from the Board at the Annual General Meeting to be held in April 2026 following the completion of his nine-year tenure.

Committee and Board Role Transitions

Following Mr Coyle's retirement, Mr Ohrenstein will be appointed Chair of the Audit Committee with effect from 1 May 2026. In addition, Richard Rowney (Independent Non-Executive Director and Risk Committee Chair) will be appointed as Senior Independent Director from 1 May 2026.

About Robert Ohrenstein

Mr Ohrenstein brings extensive private equity and financial knowledge with over three decades of experience in financial and professional services. Mr Ohrenstein was Global Head of Private Equity at KPMG for almost ten years, and most recently was a UK Vice Chair. At KPMG, he set the firm's global private equity strategy including formulating and implementing a major global investment plan for the firm. Mr Ohrenstein holds an MBA from the University of Warwick and a BSc (Econ) from the London School of Economics. He is a Fellow of the Institute of Chartered Accountants in England and Wales. He currently serves as Non-Executive Director and Audit Committee Chair of PTSG Group Ltd, is an Operations Adviser for Advent International, and acts as senior adviser to a number of Private Equity firms.
