Notification of Transactions by Persons Discharging Managerial Responsibilities

PensionBee Group plc (the 'Company') announces that on 21 June 2026, in accordance with its 2021 PensionBee Group plc Omnibus Plan as amended on 21 June 2026 (the 'Omnibus Plan'), it granted in aggregate 993,345 nominal-cost share options over ordinary shares of £0.001 each in the Company to Romi Savova, Jonathan Lister Parsons and Christoph J. Martin, being Persons Discharging Managerial Responsibilities of the Company ('PDMRs'), as set out in the tables below.

The Omnibus Plan is an umbrella plan under which two different types of awards can be made: deferred share bonus awards (the 'DSB Awards') and restricted share plan awards (the 'RSP Awards'). DSB Awards and RSP Awards can be granted as Share Options or Conditional Share Awards and following the adoption by the Company ,on 21 June 2026, of an Enterprise Management Incentive ('EMI') sub-plan, as EMI Options.

DSB Awards granted as Share Options have an exercise price of £0.001 per ordinary share and will vest in three equal tranches, one third on the first anniversary of the date of grant, one third on the second anniversary of the date of grant and one third on the third anniversary of the date of grant, with each tranche expiring on the tenth anniversary of of the date of grant. DSB Awards granted as EMI Options have an exercise price of £0.001 per ordinary share and vest on the third anniversary of the date of grant, expiring on the fifteenth anniversary of the date of grant.

Under the RSP Awards, the Share Options and EMI Options will have an exercise price of £0.001 per ordinary share and will vest on the third anniversary of the date of grant, with Share Options  expiring on the tenth anniversary of the date of grant and EMI Options expiring on the fifteenth anniversary of the date of grant. A post vesting holding period applies until the fifth anniversary of the date of grant applies to all RSP Awards.

This notification is made in accordance with the requirements of Article 19 of the UK Market Abuse Regulation.
