Results of Annual General Meeting

Partners Group Private Equity Limited announces that all resolutions put to shareholders at its Annual General Meeting ("AGM") held today were duly passed. The detailed results are:

In relation to Resolutions 5 and 9, concerning the re-elections of Peter McKellar and Gerhard Roggemann as Directors, the Board acknowledges the level of votes cast against and withheld on these resolutions. The Board recognises that this may reflect shareholder views in relation to ethnic diversity among Board members and Board independence respectively, noting that in the case of Mr Roggemann he holds 1.02% of the Company's issued share capital, following the Company's admission to the FTSE 250.

The Board will engage with shareholders to better understand the reasons for the dissent and will consider this feedback as part of its ongoing governance and Board evaluation processes.

Directorate Change

The Company further notes that, as referenced in the Annual Report, Ms Merise Wheatley has retired from her role as a Director and as Chair of the Audit and Risk Committee. The Board wishes to thank Ms Wheatley for her highly valued contribution to the Company since 2018. Accordingly, Ms Nicola Paul has assumed the role of Chair of the Audit and Risk Committee with effect from today.
