Appointment and Resignation of Non-Executive Directors

Paragon is pleased to announce that its Board of Directors has appointed Andrew Stewart and Rebecca McNeil as Non-Executive Directors of the Company, with effect from 1 October 2026. These appointments reflect the implementation of the Board's orderly succession management process and result from a thorough search process undertaken by the Nomination Committee of the Board.

Andrew brings extensive experience in strategic planning and advisory services within the financial services sector, alongside deep knowledge of the specialist banking market and expertise in transformation, AI and technology. Andrew is currently a Senior Partner at Kearney, having previously led the Northern and Eastern Europe Practice for the firm. Prior to this, Andrew was a member of the European Management Board and Global Lead for Financial Services at Navigant Consulting.

Andrew will be a member of the Company's Audit and Risk and Compliance Committees.

Rebecca brings strong expertise in commercial and SME banking. Rebecca is currently a Partner at Manchester Square Partners LLP and serves as a Non-Executive Director of British Cycling. Rebecca was Chief Executive Officer of Retail at Close Brothers Group plc from 2020 to 2023. Prior to joining Close Brothers, she served as Chief Operating Officer of Business Banking for Barclays plc.

Rebecca will also be a member of the Company's Nomination and Risk and Compliance Committees.

The appointments of Andrew and Rebecca to the Board increases the Board's breadth and depth of skills and experience, particularly across specialist banking, technology and transformation.

Paragon also announces that, following their nine-year tenure as Non-Executive Directors of the Company, Graeme Yorston and Barbara Ridpath will resign with effect from 30 September 2026.

This announcement is made in accordance with UKLR 6.4.6R.
