Delay to publication of audited accounts from 27 September 2026 to 30 September 2026

Paradigm Homes Charitable Housing Association Limited (the Issuer) has issued each of the following bonds:

(a)        £350,000,000 2.250 per cent. Secured Bonds due 2051; and

(b)        £300,000,000 5.25 per cent. Secured Sustainability Bonds due 2044,

(the Bonds).

The Bond Trust Deeds constituting each of the Bonds and their Conditions include a requirement for the Issuer to provide to M&G Trustee Company Limited (the Bond Trustee) a copy of its audited financial statements (both its own and, where applicable, on a consolidated basis) (the Issuer Financial Statements) and a copy of the consolidated audited financial statements of Paradigm Housing Group Limited (the Group Parent) (the Group Financial Statements) for each financial year within 180 days after the end of such financial year.

The Issuer and the Group Parent are currently finalising the Issuer Financial Statements and the Group Financial Statement for their financial year ended 31 March 2026.  The Issuer has experienced a series of delays due to exceptional circumstances arising as a result of the merger with Settle Group and the co-ordination of multiple external auditors which has placed pressure on the audit timetable.  As a result, there will be a short delay to completion and publication of the accounts, that will extend past the deadline of 27 September 2026.

The Issuer and the Group Parent are working closely with their auditors to complete the audit as soon as practicable and expect to publish the Issuer Financial Statements and the Group Financial Statements by 30 September 2026.  Neither the Issuer nor the Group Parent has been told of any material audit issues affecting the Issuer's own, or the Group's consolidated, financial statements.  The Issuer has confirmed that, to the best of its knowledge and belief, there is no reason to believe that the Issuer Financial Statements or the Group Financial Statements will be subject to any audit qualification and neither the draft Issuer Financial Statements nor the Group Financial Statements contain any non-public, price sensitive information about the Issuer or the Group.

The Issuer has sought, and obtained, the consent of the Bond Trustee to postpone such requirement no later than 30 September 2026.
