Gold exploration and development company Panthera Resources Plc (AIM: PAT), provides the following update in respect of the Company's equity financing, details of which were most recently announced on 9 September 2026.

 

Following completion of First Admission, the remaining 1,191,923 new Ordinary Shares representing approximately £0.21 million will admit to trading on AIM on or around 28 September 2026 ("Second Admission"). 

 

Shares in Lieu of Fees

 

The Company has agreed to issue 450,000 new Ordinary Shares, at a deemed issue price of 16.6 pence per new Ordinary Share, in settlement of certain advisory fees owed to a consultant.  The issue price reflects the Company's prevailing share price at the time of commencement of the engagement. The issue of new Ordinary Shares in lieu of payment of cash preserves the Company's resources while satisfying the outstanding fees.

 

Director/PDMR Dealing

 

Further to the Company's announcement on 3 September 2026, the Company has been notified that Michael Higgins, Non-Executive Chairman of the Company, has sold 2,500,000 Ordinary Shares at a price of 17.5 pence per Ordinary Share. 

 

Following this sale, Mr Higgins holds 7,295,825 Ordinary Shares, representing approximately 2.66% of the Company's current issued share capital.

 

Application for Admission

 

Application has been made to the London Stock Exchange plc for 1,641,923 new Ordinary Shares to be admitted to trading on the AIM. It is expected that Second Admission will become effective and that dealings in the 1,641,923 new Ordinary Shares will commence on AIM at 8.00 a.m. on or around 28 September 2026.

 

Following Second Admission, the Company's issued share capital will comprise 276,083,954 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.

 

Details of the director dealing are set out in the table at the end of this announcement, which has been provided in accordance with the requirements of the UK Market Abuse Regulation.
