Voting Intentions at Future General Meetings

The Company refers to the circular distributed to shareholders of Palace Capital dated 11 June 2026 (the "Circular") pursuant to which a general meeting of the Company was called for the purpose of considering and, if thought fit, passing a resolution to waive any obligation that would arise on the Concert Party (as defined in the Circular) (the "Concert Party") to make an offer to shareholders of the Company pursuant to Rule 9 of the Takeover Code, as a result of a proposed share buy-back programme.

The Company announces that, following consultation with the Company's largest shareholders, Lakestreet Capital Partners AG and Lakestreet Trading AG (the "Lakestreet Entities") have confirmed for the benefit of all of the Company's shareholders that each of the Lakestreet Entities will not, at any time exercise (or cause or permit to be exercised) any voting rights attaching to any ordinary shares of the Company which, when taken together with any such rights controlled or acquired by any member of the Concert Party, would represent, in aggregate, more than 29.99 per cent. of the total votes that may be cast on a poll at any general meeting of the Company.
