Oxford Metrics plc (LSE: OMG), the smart sensing and measurement technology group serving life sciences, entertainment, engineering and manufacturing markets, is pleased to announce the acquisition of Captive Devices Ltd (the "Acquisition"), a specialist provider of facial capture technology.

 

Highlights

 

•    Captive Devices is a UK-based developer of professional head-mounted camera systems and software that enables markerless facial performance capture, used in visual effects, games and virtual production

 

•    The Acquisition adds specialist facial capture to Vicon's established leadership in body tracking, strengthening the Group's markerless and hybrid motion capture offer

 

•   Captive Devices reported unaudited revenue of £0.5 million in the year ended 30 April 2026 and gross margin in line with Vicon's strong levels

 

•   Total consideration for the Acquisition of up to £0.75 million, comprising cash, equity and a performance-based earn-out

Optical, marker-based motion capture remains core to Vicon's business. The Group's hybrid approach allows customers to adopt markerless capability alongside the systems they already use and trust - this transaction extends what that combined offer can do.

 

Captive Devices: broadening Vicon's capture platform

 

The Acquisition adds markerless facial capture to Vicon's established strength in body tracking, enabling Vicon to offer customers a more integrated, end-to-end body-and-face capture workflow and broadening its capabilities across marker-based, markerless and hybrid motion capture. It also creates clear strategic leverage: by bringing Captive Devices' proven technology into Vicon's global commercial channels and established customer relationships, the Group can take the product to a much broader international customer base, increasing the addressable opportunity for the technology, accelerating Captive Devices' active sales pipeline and improving profit margins.

 

Founded in 2024 and based in Manchester, Captive Devices has developed a professional grade system that integrates directly with Epic Games' Unreal Engine, enabling facial performance capture and review within real-time production workflows used increasingly across games and visual effects.

 

Captive Devices has sold to leading games studios and visual effects houses, including customers Vicon already serves. Its founding team - who designed and built similar systems prior to founding the business - will be joining Vicon.

 

Captive Devices' entire issued share capital is being acquired by the Group from Greyhound Industry Ltd, EEInsights Ltd and Periscope Technical Ltd with no debt assumed as part of the transaction.

 

The total consideration for the Acquisition is up to £750,000 and is subject to customary adjustments for working capital, cash and debt-like items and comprises of a cash payment of £250,000, issue of Oxford Metrics plc ordinary shares with an aggregate value of £300,000 allotted quarterly over 24 months, and an earnout of up to £200,000 in cash contingent upon gross profit performance on sales of the facial performance capture system.

 

The cash consideration is to be funded from existing resources and the issue of new Oxford Metrics ordinary shares calculated based on the closing price on 27th August 2026.
