Grant of Options and RSUs, and Issue of Warrants
Ondine Biomedical Inc. (LON: OBI), a Canadian life sciences company pioneering light-activated antimicrobial treatments, announces the issuance of Restricted Share Units, options and warrants below.
On 5 June 2026, the Company granted a total of 3,121,471 Restricted Share Units ("RSUs") to employees and executive directors.

The Restricted Share Units vest upon receipt of U.S. Food and Drug Administration ("FDA") marketing approval for Ondine's nasal photodisinfection therapy for the reduction of surgical site infections.
Following the grant of the RSUs, the Company has 3,121,471 RSUs to subscribe for new common shares in the Company ("Common Shares") outstanding, which represents c.0.56% per cent of the Company's current issued share capital.
On 5 June 2026, 8,290,000 Options were granted to employees, executive directors, non-executive directors and consultants.

The new Options all have an exercise price of 13.25 pence, being the closing midmarket share price on 5 June 2026 (the "Approval Date"), the day on which the grant of Options was approved by the Board. The Options vest evenly over a period of three years, with 33.33% vesting on each of the three successive anniversaries of the Approval Date and can be exercised for a period of eight years from the Approval Date.
Following the grant of the new Options, the Company has 26,528,334 Options to subscribe for new Common Shares outstanding, which represents c.4.73% per cent of the Company's current issued share capital.
On 5 June 2026, the Company issued 1,000,000 warrants to an executive, entitling the holder to acquire Common Shares of the Company at a strike price of 15 pence each. The warrants have an expiration date of six months following receipt of U.S. Food and Drug Administration ("FDA") marketing approval for Ondine's nasal photodisinfection therapy for the reduction of surgical site infections.
Following the grant of the warrants, the Company has 1,000,000 warrants to subscribe for new Common Shares outstanding, which represents c.0.18% per cent of the Company's current issued share capital.

Ondine Biomedical Inc. is a Canadian life sciences company focused on the development of light-activated antimicrobial therapies ('photodisinfection') for the prevention and treatment of infections, including those associated with multidrug-resistant organisms.
Ondine's lead product, Steriwave®, is authorized for nasal decolonisation in Canada and certain international markets. In the United States, the technology has been granted Qualified Infectious Disease Product designation and Fast Track status by the U.S. Food and Drug Administration and recently completed enrolment in its Phase 3 clinical trial.
The Company has a pipeline of additional photodisinfection products in various stages of development for application in areas including chronic sinusitis, ventilator-associated pneumonia, burns and other indications.
Ondine's light-activated antimicrobial technology, commercially available as Steriwave® in certain jurisdictions, is not approved, cleared, or commercially available for sale or clinical use in the United States and is limited by U.S. law to investigational use only.
