Corporate & Trading Update

 

The Board of NYCE International plc (AQSE: NYCE) ("NYCE INTERNATIONAL", "NYCE" or the "Company"), which provides the distribution layer and product ventures for the global iGaming industry, provides the following update in relation to its current trading, working capital position and the outlook for the Company.

 

On 30 June 2026, NYCE announced its results for the 18 months ended 31 December 2025, reporting revenue for the period of £467k and a cash balance as at 31 December 2025 of £73k.

 

During the first six months of 2026, revenue increased 219% year on year to £384k, and the Company raised £150k through a mixture of debt and equity, resulting in an unaudited cash balance of £63k as at 30 June 2026.

 

The Company has, over the past six months, been in discussions in relation to a possible offer for the entire issued and to be issued ordinary share capital of the Company.  The valuation of the Company implied by the indicative offer would have represented a significant premium to its current market value. These discussions have now concluded without agreement being reached.

 

As the above figures reflect, the Company will require additional working capital in the near term. Accordingly, the Board is reviewing a number of strategic and financing alternatives and remains focused on identifying a structure that provides the Company with sufficient working capital, supports the continued development of its operating businesses, and offers the best available outcome for all stakeholders.

 

There can be no certainty that any proposed transaction, fundraising or alternative strategic arrangement will be completed, or as to the terms of any such arrangement.

 

As set out in the Notice of Annual General Meeting posted to shareholders on 14 July 2026, the Board is seeking additional shareholder authorities at the Annual General Meeting on 6 August 2026 in relation to the issue of new shares and a reorganisation of the nominal value of the Company's ordinary shares, in order to provide the Company with appropriate flexibility.

 

The Board will provide further updates to shareholders as appropriate.
