RESULT OF EXTRAORDINARY GENERAL MEETING AND ADJOURNED SEPARATE CLASS MEETING OF
      THE HOLDERS OF ORDINARY SHARES TO AMEND THE ARTICLES OF ASSOCIATION


Murray Income Trust PLC announces that at the Extraordinary General Meeting held
on 1 May 2002, the special resolution was passed, subject to the passing of the
extraordinary resolution at the Separate Class Meeting of the holders of
Ordinary Shares. At the adjourned Separate Class Meeting of the holders of
Ordinary Shares held today, 8 May 2002, the extraordinary resolution was passed.
