Establishment of an Employee Benefit Trust, Transfer of Treasury Shares and Total Voting Rights
Mortgage Advice Bureau (Holdings) plc (LSE: MAB1), a leading technology-driven UK property finance service, announces that on 14 August 2026 the Remuneration Committee and the Board resolved to establish the Mortgage Advice Bureau Employee Benefit Trust (“EBT”). The EBT was subsequently established on 19 August 2026.
The EBT is operated by Equiniti Trust (Jersey) Limited (“Trustee”) and is intended to be used to satisfy obligations arising from the exercise of vested options and future awards granted pursuant to the Company's share option programmes.
Transfer of shares from treasury to the EBT
In connection with the establishment of the EBT, the Remuneration Committee and the Board also resolved on 14 August 2026 to transfer the 407,950 ordinary shares of 0.1 pence (“Shares”) held in treasury to the Trustee for nil consideration. These Shares were acquired by the Company between 31 March 2026 and 23 April 2026, in connection with the Share Buyback which was announced on 31 March 2026, and were being held in treasury to meet obligations arising from share option programmes.
Completion of the transfer of the Shares held in treasury to the Trustee occurred on 8 September 2026. Following the transfer, the EBT holds 407,950 Shares, representing approximately 0.7% of the issued share capital of the Company (“Issued Share Capital”), with no shares remaining in treasury.
Total Voting Rights
The Issued Share Capital comprises 58,021,831 Shares of 0.1 pence each, with each Share carrying the right to one vote. No Shares are held in treasury.
Accordingly, the total number of voting rights is 58,021,831. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
