Mitie Group plc ("Mitie" or "the Group"), the UK leader in Facilities Management, Transformation and Compliance, announces that, further to the announcement today by OCS Group International Limited ("OCS") of a recommended cash offer for Mitie, it is suspending the £100m share buyback programme (the "Share Buyback Programme"), launched on 14 October 2025, with immediate effect.

Under the Share Buyback Programme to date, the Group has purchased a total of 49m ordinary shares of 2.5p each at a cost of £81m. 3m of the acquired shares have been used to fulfil the 2022 Save As You Earn scheme, which vested in February 2026, with the remaining 46m shares having been cancelled.

Any recommencement of the Share Buyback Programme will be announced to the market.
