Microlise Group plc
("Microlise", "the Group" or "the Company")
Launch of Share Buyback Programme
Microlise, a leading provider of transport management software to fleet operators, announces that from today, the Company will commence a share buyback programme to repurchase ordinary shares of £0.001 each in the Company ("Ordinary Shares") for up to a maximum amount of £1.0 million (the "Share Buyback Programme"). All Ordinary Shares acquired under the Share Buyback Programme will be held in treasury, and the Share Buyback Programme will be financed from existing cash resources.
The purpose of the Share Buyback Programme is to:
|
(i) reduce the share capital of the Company and to return capital to those shareholders wishing to participate in the Share Buyback Programme; and |
|
(ii) satisfy future obligations from Microlise’s staff share schemes, thus partially reducing future dilution for shareholders, and provide flexibility to reissue the treasury shares if required to satisfy investor demand. |
The Board believes that the current share price undervalues Microlise and its future prospects and that the Share Buyback Programme represents an effective use of the Group's cash balances to deliver value for shareholders, in line with Microlise's approach to capital allocation. Microlise continues to have financial flexibility to support the execution of its growth strategy.
The Company has instructed Canaccord Genuity Limited, the Company's nominated adviser and broker (the “Broker”), to conduct the Share Buyback Programme on its behalf on a broker-managed basis in relation to the purchase of Ordinary Shares. The Broker will make trading decisions in relation to Ordinary Shares purchased under the Share Buyback Programme independently of, and uninfluenced by, Microlise.
The Share Buyback Programme will be effected within certain pre-set parameters, including that the maximum price paid per Ordinary Share shall be i) no more than 105% of the trailing five-day average mid-market price; and ii) no higher than the price of the last independent trade and the highest current independent bid, in accordance with and under the terms of the general authority granted to the Board by the Company's shareholders at the Company's annual general meeting on 24 June 2026 (the "General Authority").
The Share Buyback Programme will expire on 31 January 2027, or earlier, if the maximum aggregate consideration of £1.0 million has been reached or the process is terminated or paused.
Any market repurchase of Ordinary Shares will be announced on a weekly basis, and in any event by no later than the end of the seventh daily market session following the date of execution.
Further details of the Share Buyback Programme
The Board has determined that the commencement of this Share Buyback Programme is in the best interests of the Company and its shareholders.
