Completion of Acquisition of Eurotab Group

McBride plc ("McBride" or the "Group"), the leading European manufacturer and supplier of private label and contract manufactured products for the domestic household and professional cleaning/hygiene markets, today announces that its Unit Dosing division has completed the acquisition of the Eurotab Group ("Eurotab") by acquiring the entire issued share capital of Eurotop SAS (the "Acquisition").  Eurotab is a leading specialist in the design and manufacture of solid-format cleaning and hygiene solutions, primarily serving private label and certain contract manufacturing markets.

The enterprise value (including the agreed payment of EUR 1.8 million for acquired tax losses) on completion was EUR 35.6 million (£30.7 million), which remains subject to customary closing adjustments to determine the final consideration, and represents a reduction from the previously expected EUR 40.0 million.  In line with the agreed mechanism to determine the final consideration, this adjustment reflects a reduction in Eurotab's expected outturn EBITDA for the financial year ending 30 June 2026.

Chris Smith, CEO of McBride, commented:

"The completion of the acquisition of the Eurotab Group represents an important milestone in implementing our growth strategy and we are excited to welcome our new colleagues to the Group.

The acquisition is expected to reinforce the strong market position of McBride's Unit Dosing division in the European detergent market and bring meaningful scale to the Group. The transaction offers numerous opportunities for the division, including two new categories that will broaden our product and customer offering, while deepening relationships with key retail customers. It will also provide access to new markets.

We expect the acquisition to be immediately earnings accretive from completion with the potential to drive further value through the delivery of meaningful synergies. This transaction reflects our continued confidence in the long-term value of the business."
