Appointment of Kwemvelo as External Trading Desk

Marula Mining PLC (AQSE: MARU A2X: MAR), an African-focused mining and development company, is pleased to announce the appointment of Kwemvelo Concepts Proprietary Limited ("Kwemvelo") as its exclusive external commodities trading desk.

Kwemvelo is a South African commercial advisory company established in 2016, providing commercial advisory, transaction support, contract assurance, commercial governance, due diligence and risk management services across Africa within the mining, oil and gas, infrastructure, energy and other capital-intensive sectors.

Under its engagement with Marula, Kwemvelo will support the Company through the establishment of an integrated commercial growth framework designed to strengthen market access, commercial execution and transaction governance as Marula advances its portfolio of producing and development-stage critical mineral assets.

Pursuant to the engagement, Kwemvelo will receive a monthly retainer, together with transaction-related fees in respect of all transactions falling within the scope of the mandate and typical of a engagement of this manner.

The appointment represents a further step in strengthening Marula's commercial infrastructure as the Company continues its transition into a larger multi-asset critical minerals producer. The engagement is expected to enhance market access, support customer and offtake development, improve commercial governance and transaction execution, and provide a scalable commercial platform capable of supporting increasing production volumes and future growth across the Company's operations.

The services to be provided by Kwemvelo are expected to include:

·      Buyer and offtake engagement

·      Transaction coordination

·      Contract assurance and risk governance

·      Logistics coordination

·      Commercial due diligence

·      Independent collateral assurance coordination through third-party providers, where required

Kwemvelo will act as an external commodities trading desk working alongside Marula's Board and Chief Operating Officer.



 

The engagement is expected to establish a structured commercial operating framework comprising:

·      Commercial Intelligence

·      Counterparty Due Diligence

·      Contract and Risk Governance

·      Independent Collateral Assurance Coordination

Together, these functions are intended to provide a single integrated commercial platform supporting Marula's operations across multiple commodities and jurisdictions. The framework is expected to assist Marula in strengthening relationships with customers, traders and financing partners, while supporting efficient transaction execution, enhanced governance standards and sustainable production growth.
