Update on legal proceedings

M Winkworth plc ("Winkworth" or the "Company") announces that, following the commencement on 6 August 2026 of proceedings in the High Court of Justice, Business and Property Courts of England and Wales, Business List (ChD), against Simon Agace, the Company's Non-Executive Chair, Mr Agace has agreed to provide certain undertakings to the Company in connection with the matters which were the subject of the Company's application for interim injunctive relief.

The undertakings restrict Mr Agace from taking or encouraging steps to remove or appoint Company directors without first giving seven days' written notice and, in any event, before 10 September 2026.

Accordingly, the Company and Simon Agace have agreed the terms of a consent order, which has been approved by the Court ("Consent Order").  The Consent Order provides that the Company's application for interim injunctive relief will be adjourned to 5 October 2026 with liberty to restore. There has been no determination by the Court in relation to the allegations against Mr Agace or the Company's application.

The Company and Mr Agace are continuing discussions with a view to resolving the matters between them.

The Company's business continues to operate as usual and the executive team remains focused on the delivery of the Company's strategy. The Company will provide further updates as appropriate.

This announcement contains inside information for the purposes of Article 7 of EU Regulation 956/2014 as it forms part of UK domestic law by virtue of the European Union (Withdrawal) Act 2018 ("MAR"), and is disclosed in accordance with the Company's obligations under Article 17 of MAR.
