Legal Proceedings and Independent Board Review
M Winkworth plc (“Winkworth” or the “Company”) provides the following updates.
Legal Proceedings
The Company and Mr Simon Agace have agreed a further consent order in the ongoing High Court proceedings, which has been sealed by the Court.
The parties remain in discussions with a view to reaching a settlement and have agreed to enter into mediation. To facilitate that process, the stay of all further proceedings ordered on 29 September 2026 has been extended up to and including 23 November 2026. The hearing of the Company's application, originally listed for 5 October 2026, remains adjourned with liberty to restore.
The undertakings Mr Simon Agace gave in connection with the consent order dated 12 August 2026 remain in full force and effect until the dispute is resolved, or until further order of the Court.
The Company will provide further updates as appropriate.
Independent Board Review
The full findings of the Independent Board Review undertaken by an established external advisory firm have now been presented to the Board, and are consistent with its initial recommendations regarding Board composition, independence and corporate governance arrangements.
The Board has agreed the recommendations in principle, subject to further discussion of the findings, and is progressing discussions regarding their implementation.
