Legal Proceedings and Independent Board Review

M Winkworth plc ("Winkworth" or the "Company") is pleased to make the following updates.

Legal Proceedings

The Company and Mr Simon Agace have agreed a consent order in the ongoing High Court proceedings, which has been sealed by the Court. Under the terms of the order, the undertakings previously given by Mr Simon Agace in connection with the consent order dated 12 August 2026 shall remain in full force and effect until the dispute is resolved, or until further order of the Court.  

The parties are in ongoing discussions with a view to reaching a settlement. In the meantime, all further proceedings have been stayed for a period of one month, and the hearing listed for 5 October 2026 has been adjourned with liberty to restore on not less than seven days' notice following expiry of the stay, or until further order of the Court.

The Company will provide further updates as appropriate.

Independent Board Review

The Company is committed to good corporate governance and has engaged an established external advisory firm to carry out an independent review of the Board (the "Independent Board Review"). The full findings of the Independent Board Review are expected to be presented to the Company in the coming weeks.

As part of the Independent Board Review, the Company has received initial recommendations regarding the composition of the Board and appropriate corporate governance arrangements. Further to these recommendations and as part of the Company's long-term succession planning, the Board is considering its composition as a whole including the appropriate balance of independence across the roles of Non-Executive Chair and Non-Executive Directors. The Company awaits the full findings of the Independent Board Review and will consider these alongside its succession planning.
