Notification of transactions of persons discharging managerial responsibilities ("PDMRs")

 

Liontrust announces that on 6 August 2026 it granted LTIP awards of nil price options ("Options") over the Company's ordinary shares of 1p each ("Shares") to John Ions, Chief Executive Officer, and Vinay Abrol, Chief Financial Officer. John Ions and Vinay Abrol are both PDMRs.

 

The details of the Options granted are as follows:

The Options are granted in accordance with the rules of the Company's Long Term Incentive Plan ("LTIP") for its Executive Directors and are subject to stretching performance targets based on total shareholder return, diluted adjusted earnings per share and investment performance.

 

Last year's LTIP grants were scaled back by 15% of the policy maximum resulting in awards of 297.5% of salary for John Ions and 212.5% of salary for the Vinay Abrol (versus policy maximums of 350% and 250% of salary respectively). Given the continued challenging shareholder experience, ongoing net outflows and material share price decline since the prior grant, this year's awards have been capped at a 25% increase in share numbers versus last year, equating to 284% of salary for John Ions and 203% of salary for Vinay Abrol.

 

While the Remuneration Committee considered whether any increase was appropriate, recent LTIP vesting outcomes have been low and annual bonuses modest.  The proposed awards, below both last year's grants and policy maximum are considered a balanced and proportionate approach to maintaining incentivisation and retention

Performance conditions

 

Awards will vest based on the following performance conditions over the three-year period from 1 April 2026 to 31 March 2029. Threshold vesting remains at 10%, consistent with last year's approach and below the 25% permitted under the policy with vesting rising to 100% for stretch performance:

●     40% absolute total shareholder return ("TSR"), with a relative TSR underpin;

●     30% Adjusted diluted adjusted earnings per share, excluding performance fees; and

●     30% investment performance.

River Global Acquisition

 

The above performance conditions reflect the acquisition of River Global. Both the Adjusted diluted EPS and investment performance measures will include River Global for full performance period. The three-year investment performance measure will capture 2.75 of 3 years under Liontrust's ownership and the five-year measure will capture over half (2.75 of 5 years), such that inclusion is considered appropriate.
