Results of Annual General Meeting

 

At the Company's Annual General Meeting, held earlier today, all resolutions were duly passed. The results of the proxy votes received in relation to the resolutions are as follows below.

Resolution 1 - To receive and adopt the Directors' Report and Accounts for the year ended 31 March 2026 together with the Independent Auditor's report thereon. Votes in favour 7,203,713 (100.00%). 3,133 votes were withheld.

Resolution 2 - To declare the final dividend recommended by the directors on the ordinary shares of the Company. Votes in favour 7,205,131 (100.00%). 1,906 votes were withheld.

Resolution 3 - To re-elect Fabian French as a director, who retires by rotation. Votes in favour 6,899,094 (95.95%). 16,879 votes were withheld.

Resolution 4 - To re-elect Paula Kerrigan as a director, who retires by rotation. Votes in favour 7,159,340 (99.39%). 3,938 votes were withheld.

Resolution 5 - To elect Jolyon Barker as a director, who was appointed during the year. Votes in favour 7,164,776 (99.96%). 39,064 votes were withheld.

Resolution 6 - To re-elect Nick Latham as a director, who retires by rotation, Votes in favour 7,202,990 (99.97%). 2,119 votes were withheld.

Resolution 7 - To re-elect David Dunmow as a director who retires by rotation, Votes in favour 7,199,017 (99.96%). 4,833 votes were withheld.

Resolution 8 - To re-elect Andrew Wright a director who retires by rotation, Votes in favour 7,198,972 (99.96%). 4,878 votes were withheld.

Resolution 9 - To re-elect Piers Latham a director who retires by rotation, Votes in favour 7,202,815 (99.97%). 2,294 votes were withheld.

Resolution 10 - To elect Nick Widlinksi as a Director, who was appointed during the year, Votes in favour 7,160,189 (99.96%). 43,653 votes were withheld.

Resolution 11 - To re-appoint RSM UK Audit LLP, Chartered Accountants, as auditors. Votes in favour 7,163,451 (99.99%). 43,220 votes were withheld.  

Resolution 12 - To approve the Directors authority to allot shares. Votes in favour 6,950,801 (99.51%). 221,891 votes were withheld.

Resolution 13 - To approve the Disapplication of pre-emption rights. Votes in favour 6,942,516 (99.43%). 224,684 votes were withheld.

Resolution 14 - To give authority to the Company to purchase its own shares. Votes in favour 7,195,091 (99.93%). 6,717 votes were withheld.

Resolution 15 - To cancel 171,948 £1 8% preference shares which are currently held by the Company as Treasury Shares. Votes in favour 7,199,032 (100.00%). 7,810 votes were withheld.

Resolution 16 (Advisory Vote) - To receive and adopt the Directors' Remuneration Report for the year ended 31 March 2026. Votes in favour 6,904,577 (95.90%). 7,304 votes were withheld.
