Change of Company Secretary

 

Keras Resources plc (AIM: KRS) announced on 30 June 2026 that trading in the Company's ordinary shares on AIM would be suspended with effect from 7.30am on Wednesday 1 July 2026 due to a delay in the publication of the annual results for the year ended 31 December 2025. The Company indicated that it was expected to release the Annual Report by no later than 31 July 2026.

As noted, the audit process is substantially finalised, but the Company continues to advance discussions around two potential transactions, which will have a bearing on the disclosure in the accounts. Discussions with the counterparties continue to progress, however the Company now expects these transactions to be finalised in early September, thus enabling the publication of the 2025 accounts.

In accordance with Rule 41 of the AIM Rules, the admission of the Company's shares to trading on AIM would be cancelled if the Company's shares are suspended from trading for six months.

Whilst the Company expects to enter into binding agreements for the potential transactions, there can be no certainty that binding agreements will be reached or the terms of such agreements.

Change of Company Secretary

The Company also announces that MSP Corporate Services Limited has taken over the role of Company Secretary from Brian Moritz, Non-Executive Director with immediate effect.
