Share awards granted under the International Workplace Group Plc's Long-term incentive plans as follows:

·      897,095 share awards granted under the Performance Share Plan.  No consideration was paid for the grant of the awards which are structured as nominal cost options.  The vesting of an award is subject to the satisfaction of performance conditions set by the Remuneration Committee of the Company measured over a three-year period ended 31 December 2027 and the application of a multiplier. Awards will be subject to a holding period of two years following achievement of performance conditions and will normally become exercisable on the fifth anniversary of the grant of the awards, and will then normally remain exercisable until the day before the tenth anniversary of the date of grant provided the individual remains an employee or officer of the group.

·      337,254 share awards granted under the Restricted Share Plan.  No consideration was paid for the grant of the awards which are structured as nominal cost options. The awards will normally vest on the third anniversary of the grant, subject to the satisfaction of an underpin set by the Remuneration Committee of the Company. Awards will be subject to a holding period of two years following achievement of the underpin and will normally become exercisable on the fifth anniversary of the grant of the awards, and will then normally remain exercisable until the day before the tenth anniversary of the date of grant provided the individual remains an employee or officer of the group.

Share awards granted under the International Workplace Group Plc's Deferred Bonus Share Plan as follows:

·      155,641 share awards granted under the International Workplace Group Plc Deferred Bonus Share Plan. No consideration was paid for the grant of the awards which are structured as nominal cost options. The awards will normally vest on the third anniversary of the grant of the awards and will then normally remain exercisable until the day before the tenth anniversary of the date of grant provided the individual remains an employee or officer of the group.
