Confirmation of change of Auditor following audit tender

As stated in the Company's Annual Report and Accounts 2025, and in its 2026 Notice of AGM, following a formal tender process, the Board of directors of the Company proposed that Deloitte LLP be appointed as its independent auditor of the Company for the financial year ending 31 December 2026. A resolution to appoint Deloitte as auditor will be proposed to shareholders at the Company's Annual General Meeting on 20 May 2026.

The Company confirms that PriceWaterhouseCoopers LLP ('PwC') has resigned from its role as auditor with effect from 23 April 2026 and, as required by section 519 of the Companies Act 2006 (the 'Act') has provided a statement that confirms there are no reasons for ceasing to hold office and no matters connected with their resignation as auditor that must be brought to the attention of members or creditors of the Company. In accordance with section 520(2) of the Act, a copy of PwC's statement of circumstances statement is being sent to shareholders for information only and will be submitted to the Financial Conduct Authority's National Storage Mechanism at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
