Exercise of Options & Total Voting Rights

 

Intercede, the leading cybersecurity software company specialising in digital identities, announces that it has received notice of exercise (the "Exercise") in relation to employee share options over 150,000 share options over ordinary shares of 1p each in the Company ("Ordinary Shares") pursuant to the Company's Enterprise Management Incentive Plan.

 

To satisfy the Exercise, the Company is issuing 150,000 new Ordinary Shares. Accordingly, application has been made for 150,000 new Ordinary Shares to be admitted to trading on AIM ("Admission"). Admission is expected to occur at 8.00 a.m. on or around 2 January 2026.

 

The new Ordinary Shares will rank pari passu with the existing shares of the Company. Following Admission, the Company will have 60,336,452 Ordinary Shares, each with voting rights. The Company holds 373,906 Ordinary Shares in treasury, therefore the total number of voting rights in the Company is 59,962,546. Accordingly, the figure of 59,962,546 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
