Exercise of Options, PDMR Shareholding & Total Voting Rights
Intercede, the leading cybersecurity software company specialising in digital identities, announces that it received notification of exercise, in relation to 150,000 share options ("Options") over ordinary shares of 1p each in the Company ("Ordinary Shares") at an exercise price of 38.0 pence pursuant to the Company's Enterprise Management Incentive Plan (the "Exercise").
Accordingly, application has be made for 150,000 new Ordinary Shares to be admitted to trading on AIM ("Admission"). Admission is expected to occur at 8.00 a.m. on or around 11 September 2026.
The new Ordinary Shares will rank pari passu with the existing shares of the Company. Following Admission, The Company will have 61,186,452 Ordinary Shares, each with voting rights. The Company holds 373,906 Ordinary Shares in treasury, therefore the total number of voting rights in the Company is 60,812,546. Accordingly, the figure of 60,812,546 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
In addition, the Company has been notified that Royston Hoggarth, Non- Executive Chair, has purchased 51,352 Ordinary Shares at a price of 111.0 pence per Ordinary Share. Following this transaction, Royston Hoggarth will have a beneficial interest in 873,206 Ordinary Shares in total (724,766 held directly and 148,440 held by his wife), representing 1.44 per cent of the Company's total voting rights following Admission.
