Re-organisation of major shareholder's legal entities

 

 

Inchcape plc ("Inchcape" or the "Company"), the leading global automotive distributor, announces that one of its major shareholders, Mr George Horesh, has reorganised the holdings in some of his companies, including by way of the transfer of his shares in Union Motors ("Union") to family members. This reorganisation is effective from 31 December 2025 after receiving necessary approvals on 15 January 2026.

 

As a result of this re-organisation, Mr Horesh (directly or through Union) will cease to be a major shareholder of the Company. Mr Horesh continues to hold 7,053,958 shares in the Company (currently representing approximately 1.96% of the Company's shares in issue). Union continues to hold 8,204,175 shares in the Company (currently representing approximately 2.27% of the Company's shares in issue). Union is, however, no longer owned or controlled by Mr Horesh.

 

As of 15 January 2026, Union owns 8,204,175 Inchcape shares, equating to approximately 2.27% of the Company's share capital and Mr Horesh owns 7,053,958 Inchcape shares, equating to 1.96% of the Company's share capital.

 

The relevant TR-1 notification, relating to this re-organisation, will be made to the market today.
