The Board of Impax Environmental Markets plc (the "Board") confirms that, following a review of the Company's investment management arrangements, it has today served notice on Impax Asset Management (AIFM) Limited (the "Investment Manager") to terminate the existing investment management agreement. In accordance with the terms of the investment management agreement, a 12-month notice period applies which will expire on 31 July 2027; however, the Board has requested that the Investment Manager considers waiving all or a substantial part of this notice period, in accordance with its obligations under the FCA's Consumer Duty.

The Board through its Management Engagement Committee is commencing a fair and transparent Request for Proposal ("RFP") process to identify and appoint an investment manager or strategic alternative that best suits investor interests moving forward. As part of the RFP process, the Board will also be taking into account the viewpoints of all stakeholders and the future investment strategy of the Company. The Board will be appointing advisers in the near future to effectively support and facilitate the RFP process.

The Board remains committed to ensuring the ultimate success of the Company and its alignment with the interests of its shareholders.
