Director/PDMR Shareholding and Total Voting Rights

Idox plc (AIM: IDOX), a leading supplier of specialist information management software and geospatial data solutions to the public and asset intensive sectors, announces that, on 22 April 2026, it has allotted and issued new ordinary shares of 1 pence each ("Ordinary Shares") pursuant to the exercise of options by four of its PDMRs, as detailed in the table below. The exercise of the options occurred immediately following the recommended cash offer by Frankel UK Bidco Limited, a company indirectly owned by Long Path Partners, to acquire the entire issued and to be issued share capital of Idox and which announced on 28 October 2025 (the "Offer") becoming unconditional.

The Company also announces that, on the same day, the PDMRs noted in the table below each unconditionally agreed to sell the Ordinary Shares (including, where relevant, the Ordinary Shares acquired on exercise of the options) at a price of 71.5p pence per share under the terms of the Offer. The transfer of the Ordinary Shares to Frankel UK Bidco Limited will take place shortly after the date on which the Offer become unconditional pursuant to the terms of the Offer.

Following this notification, the PDMRs no longer hold any beneficial holding in the Company.

Admission and Total Voting Rights

Following the acceptance of proposals relating to Idox shares in connection with the Offer and following  the Offer becoming unconditional an application has been made for a total of 13,160,839 new Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will occur at 8.00 a.m. on or around [23] April 2026.

The total number of Ordinary Shares in issue following Admission will be 474,842,885. Therefore the total number of Ordinary Shares with voting rights in the Company will be 474,842,885.

The above figure of 474,842,885 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
