The Awards were granted as nil cost options.
The Awards will ordinarily vest on their Normal Vesting Date, subject to the grantee's continued service and to the extent to which the Award's performance conditions are satisfied.
The performance conditions set threshold to stretch targets in respect of the Company's EPS performance (60% weighting), relative total shareholder performance (25% weighting) and performance against three ESG related measures (5% weighting each).
The underlying performance period comprises three consecutive financial years of the Company, commencing with the current financial year of the Company. For each performance measure, threshold performance results in 10% vesting, increasing pro-rata to full vesting for stretch levels of performance or better.
For the EPS element the threshold performance target is CAGR in EPS of 3% and the stretch performance target is CAGR in EPS of 8%.
For the TSR element threshold performance is median ranking TSR performance and the stretch target is for upper quartile TSR. The TSR element looks at the Company's TSR relative to that of a comparator group comprising the constituents of the FTSE 250 Index (excluding investment trust) as at the start of the performance period. Three month averaging periods prior to the start and end of the performance period would be used in respect of the TSR calculations.
The independent ESG metrics for the three ESG elements are (i) reduction in scope 1 & 2 energy; (ii) reduction in scope 3 energy and (iii) the proportion of leadership roles held by women.
