                    Notification of Substantial Shareholding



The Company received notification yesterday that DG & MB Conn and Associates,
purchased 46,500 ordinary 25p shares in Highcroft on 19 April 2004.



Following this purchase, DG & MB Conn and Associates have an interest in 694,247
ordinary 25p shares of Highcroft Investments, which represent approximately
13.44% per cent of the Company's issued share capital.
