                    Notification of Substantial Shareholding



The Company received notification yesterday that DG & MB Conn and Associates,
purchased 22,904 ordinary 25p shares in Highcroft on 13 June 2003.



Following these purchases, DG & MB Conn and Associates have an interest in
620,385 ordinary 25p shares of Highcroft Investments, which represent
approximately 12.01% per cent of the Company's issued share capital.
