Helios Towers plc (the "Company") announces that in the period 7 April 2026 to 10 April 2026 it purchased a total of 264,873 of its ordinary shares of £0.01 each ("Ordinary Shares"), through Merrill Lynch International ("MLI") as detailed below:

The Company intends to cancel the purchased Ordinary Shares and does not intend to hold any of the purchased Ordinary Shares in treasury.

The purchases form part of the Company's share buyback programme as announced on 6 November 2025.

Following settlement of the above purchases and cancellation of the purchased Ordinary Shares, the Company's total number of Ordinary Shares in issue shall be 1,045,981,439 Ordinary Shares. The figure of 1,045,981,439 Ordinary Shares may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure Guidance and Transparency Rules.

In accordance with Article 5(1)(b) of Regulation (EU) No.596/2014 (the Market Abuse Regulation), as it forms part of domestic law by virtue of the European Union (Withdrawal) Act 2018, as amended, a detailed breakdown of individual trades made by Merrill Lynch International on behalf of the Company as part of the share buyback programme is set out below.
