Notice to Bondholders

 

Capitalised terms not otherwise defined in this Notice shall have the meanings given to them in the terms and conditions of the Bonds (the "Conditions").

 

In accordance with the Conditions, the Parent Guarantor hereby gives notice to Bondholders that, it has announced today an interim Dividend of £0.00604 payable to Shareholders of record on 7 August 2026. Pursuant to Conditions 6(b)(iii) and 6(f), the Exchange Price may be required to be adjusted which adjustment, if made, is expected to be effective as of 6 August 2026 (the "Effective Date"). Any Bonds with respect to which Conversion Rights are exercised such that the Conversion Date is prior to the Effective Date shall be converted at the prevailing current Exchange Price of U.S.$2.9312.
