General Meeting

Summary by AI BETAClose X

Headlam Group plc has confirmed that its General Meeting, convened following a requisition from shareholder First Seagull AS, will proceed as planned on June 2, 2026, despite First Seagull AS publicly stating its intention to withdraw the requisition due to an alleged third-party voting platform issue. Headlam is unaware of any voting irregularities and notes a high turnout with more shares voted by proxy as of May 29, 2026, than at its recent Annual General Meeting. The results of the General Meeting will be announced promptly after its conclusion.

Headlam Group plc

('Headlam' or the 'Company')

General Meeting at 11am on 2 June 2026

As announced on 13 May 2026, the Company has convened, by way of a notice of general meeting published on the same date, a general meeting of the Company to be held at the Company's head office at Gorsey Lane, Coleshill, Birmingham B46 1JU at 11.00 am (London time) on 2 June 2026 (the "General Meeting").

The General Meeting was convened by the Company following a requisition notice received from one of the Company's shareholders, First Seagull AS ("FS").

The Company is aware of a public statement made by FS earlier today stating that it "withdraws its requisition and the resolutions scheduled for" the General Meeting and referencing some alleged issue with a third-party voting platform wholly unconnected with the Company.

The Company is not aware of any voting issues or irregularities associated with the General Meeting.  The Company has appointed its usual third-party registrars for the General Meeting and notes that as at 11.00 am (London time) on 29 May 2026, the latest time for electronic proxy appointments, there had been a high turnout with a higher number of shares voted than at the Company's recent AGM.

Whilst the Company welcomes FS's intention to withdraw, the Company has given valid notice of the General Meeting and therefore it must go ahead tomorrow as planned.  The results of the General Meeting will be announced as soon as possible after the meeting.
