Related Party Transaction Update

Hargreaves Services plc (AIM: HSP) announces the following transactions by certain Substantial Shareholders of the Company pursuant to the Tender Offer to Shareholders announced on 27 March 2026.

On 27 March 2026, the Company announced that Harwood Capital, Substantial Shareholders in the Company, had irrevocably undertaken to tender such number of Ordinary Shares as is equal to its Individual Basic Entitlement and had reserved its right to tender any Ordinary Shares in excess of its Individual Basic Entitlement, which was deemed to constitute related party transactions under AIM Rule 13. The Company has been notified of their participation in the Tender Offer in the following amounts:
