BOARD CHANGES
Halma, the leading safety and environmental technology Group, announces the
following Board changes, which take effect today, 30 April 2001.
John Conacher has retired from the Halma p.l.c. Board after a long and
distinguished career with the Group. John Conacher joined Halma in 1982 and
was appointed to the Board in 1990. He has been responsible for the Group's
major expansion into the US market and for building up a very strong and
experienced local management team. During his 19 years with the Group, John
Conacher contributed significantly to Halma's strategy of enhancing
shareholder value through organic growth and acquisitions, particularly within
the US market.
Keith Roy has been appointed an Executive Director of Halma p.l.c.
Keith Roy has not held any directorships of publicly quoted companies in the
last five years. There are no items for disclosure under paragraphs 6.F.2(b)
to 2(g) of the listing rules. Keith Roy's beneficial holding in the shares of
Halma p.l.c. is 776,975 ordinary shares and he holds outstanding options in
respect of 295,886 ordinary shares in the Company at a weighted average
exercise price per share of 119.8 pence.
Keith Roy, 50, joined Halma in 1992 when Halma acquired Reten Acoustics, of
which he was joint owner. In 2000, he was appointed Divisional Chief
Executive of the Water Technology Division and a member of Halma's Executive
Board. Keith Roy has played a major part in building up Halma's position as
global market leader in water leak reduction.
