DIRECTOR'S SHARE TRANSACTIONS
At a Meeting of the Share Options Committee of the Board of Halma p.l.c. held on
26 February 2002, 255,366 additional ordinary shares in the Company were
allotted under the provisions of the Company's Share Option Schemes to Mr C Q
Summerhayes, a Director of the Company, following the exercise of share options.
The exercise prices were as follows:
127,866 shares 139.50p per share
84,500 shares 130.00p per share
43,000 shares 123.50p per share
To finance the exercise of these share options, Mr Summerhayes sold 225,381
shares in the Company on 26 February 2002 at 152p per share.
After the above transactions, the beneficial holding of Mr Summerhayes,
including family interests, in the ordinary shares of Halma p.l.c. increases to
1,643,221 shares (0.451% of the issued ordinary share capital).
Following the issue of ordinary shares as a result of the share options
exercised on 26 February 2002, the issued ordinary share capital of the Company
is increased to 364,469,651 shares.
